Terms of Service

1. Agreement
These Terms of Service (“Terms”) form a legally binding agreement between you (“you”, the “User”) and AINAD LTD, a company registered in England and Wales (“we”, “us”, “our”), governing your access to and use of Syntropicity (the “Service”), an AI-powered digital search tool that returns cited, synthesised answers from live web sources.
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you confirm that a parent or legal guardian has reviewed and accepted these Terms on your behalf. If you use the Service on behalf of an organisation, you warrant that you have authority to bind that organisation.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and notify us immediately of any unauthorised use. We may suspend or terminate accounts that we reasonably believe are being misused.
4. The Service
Syntropicity uses third-party large language models and web search providers to generate answers with citations to source material. Outputs are produced by AI and may be incomplete, inaccurate, out of date, or otherwise unsuitable for your purposes. You are responsible for verifying any answer before relying on it, particularly for medical, legal, financial, or other professional matters.
The Service is provided for informational purposes only and does not constitute professional advice.
5. Subscriptions and Payment
The Service offers a free tier and paid subscription plans (“Pro” and “Max”). Paid plans are billed monthly or annually in advance via Stripe. All prices are quoted in pounds sterling (GBP) and are inclusive of UK VAT where applicable.
Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period and you retain access until then. We do not provide refunds for partial billing periods, except where required by law.
6. Consumer Rights and Cancellation
If you are a consumer in the UK, you have the right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel a subscription within 14 days of purchase for a full refund. By starting to use the paid Service within this period, you expressly request immediate performance and acknowledge that you will lose your right to cancel once the Service has been fully provided.

7. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose;
- Submit content that is illegal, defamatory, abusive, or infringes third-party rights;
- Attempt to generate content that exploits or endangers minors;
- Use the Service to develop or train competing AI models;
- Reverse engineer, scrape, or systematically extract data from the Service;
- Bypass usage limits, rate limits, or security controls;
- Resell, sublicense, or redistribute the Service without our prior written consent;
- Use the Service to send spam or malicious software.
We may suspend or terminate access without notice if we reasonably believe you have breached these Terms.
8. Intellectual Property
The Service, including all software, designs, branding, and underlying technology, is owned by AINAD LTD or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
Your inputs: you retain ownership of the queries you submit. You grant us a worldwide, royalty-free licence to process them solely to operate, secure, and improve the Service.
Generated outputs: subject to these Terms and applicable law, you may use the answers generated for you for any lawful purpose. You must not present AI-generated content as solely human-authored where this would be misleading, and you remain responsible for verifying citations and accuracy.
9. Third-Party Content
The Service surfaces content and links from third-party websites. We do not endorse and are not responsible for the content, accuracy, or practices of those third parties. Your interaction with them is at your own risk.
10. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
11. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. We make no warranties, express or implied, regarding accuracy, fitness for a particular purpose, uninterrupted availability, or that outputs will be error-free. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by our negligence, fraud, or breach of statutory consumer rights.
12. Limitation of Liability
Subject to clause 11, our total aggregate liability to you for all claims arising out of or in connection with the Service in any 12-month period shall not exceed the greater of (a) the total fees paid by you to us in that period, or (b) £100.
We shall not be liable for any indirect, special, incidental, or consequential loss; loss of profits, revenue, business, goodwill, anticipated savings, or data; or for losses arising from reliance on AI-generated outputs.
13. Indemnity
You agree to indemnify and hold harmless AINAD LTD against any third-party claims, damages, and reasonable legal costs arising out of your breach of these Terms, your misuse of the Service, or your infringement of any third-party right.
14. Termination
You may close your account at any time from your account settings. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. On termination, your licence to use the Service ends and any data may be deleted in accordance with our Privacy Policy.
15. Changes to the Terms
We may update these Terms from time to time. We will give reasonable notice of material changes by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
16. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that consumers resident in Scotland or Northern Ireland may bring proceedings in their local courts.
